Incorporation Procedure

Documents from individuals:

  • Copy of passport of the Beneficial Owner, Shareholders, and Directors.
  • Copy of a Utility Bill e.g., Gas / Electrical or Bank Statement (dated within the last 3 months).
  • 3 Proposed company name.
  • Application form (we will provide).

Documents from legal entities:

  • Copy of the Certificate of Incorporation;
  • Copies of incorporation documents (Articles of Association and Memorandum of Association).
  • Register of directors/shareholders/members

Note: Where documents are in a language other than English, a certified translation of the full document into English must be provided, with the original document.

Company Structure
  • Minimum Number of Directors: A minimum of 3 directors. They can be of any nationality and residents of any country. No local director required.Requirements for officers are a President, a Secretary and a Treasurer. Typically, the 3 directors also serve as required officers.
  • Minimum Number of Shareholders: One, which can be the same one as the director.

Taxation Policies

Panama has a Territorial Tax System which means that all corporate income sourced outside the borders of the country are subject to 0% corporate tax. This same exemption applies to dividends, capital gains, interests and stamp duties on business transactions.

In order to comply with this  law, make sure your company

  • does not carry business operations within the borders of Panama.
  • may not own property or real estate in Panama.
  • doesn’t operate certain businesses without appropriate licenses (e.g banking, insurance etc.).
Accounting and Audit Requirements

Financial Statements are crucial both for internal management and meeting regulatory requirements. In Panama, companies are obliged to maintain accurate records and financial statements. However, if your company does not operate within Panama and does not earn income from Panamanian sources, it is exempt from local taxation on foreign-source income.

  • The key components of Financial Compliance include:
    • Annual financial statements.
    • Reporting requirements for transactions and changes in the company.

Panamanian tax laws mandate that all businesses doing business in the country keep their financial statements on file, available to the General Directorate of Revenue (DGI) upon request, and verified by a certified public accountant in compliance with Panama’s widely accepted auditing standards. The financial statements may be registered with the Panamanian Public Registry, but it is not required.

The maintenance of audited financial statements is required for banks, insurance and reinsurance firms, firms registered with the Superintendence of the Securities Market, and firms operating in free zones. Each year, independent external auditors are required to certify the financial statements of these businesses.

Audit

Statutory audit applies to licensed organisations, commercial and state banks, insurance companies and companies listed on the stock exchange. Companies resident in Panama must have a statutory annual audit if they meet the following two conditions:

  • initial capital exceeds USD 100,000; annual
  • income exceeds USD 50,000.

Non-resident companies have no obligation to conduct an audit.
